Late penaltyIf not filed within 60 days after the due date the LLC ceases to be in good standing; SOS will not issue certificates of good standing, and the LLC cannot maintain a lawsuit in Oklahoma courts until compliance is restored.
Administrative dissolutionThe annual-certificate statute specifies loss of good standing (not automatic dissolution) after 60 days past due. Whether continued non-filing triggers revocation under a separate provision is unconfirmed.

  • STATUTE-CONFIRMED (10 Sep 2026). 18 O.S. 2055.2 requires LLCs to 'pay an annual certificate fee of Twenty-five Dollars ($25.00)'. The $100 formation fee is confirmed via a state-hosted digital archive document and the official Articles of Organization form, both independent of the blocked SOS domain and in agreement.
  • $100 + $25 = $125.
